1. TERMS OF SERVICE

1.1. Acceptance of Terms

1.1.1 By accessing, browsing, registering, or using the Ayinla Film Locations (AFL) platform whether through the website, mobile application, or any authorized communication channel (e.g., WhatsApp, email, direct messaging) you expressly agree to be bound by the terms, conditions, policies, and legal obligations contained herein.

1.1.2 If you do not agree with any portion of these Terms, you must refrain from using the platform. Continued use constitutes full and unreserved acceptance.

1.1.3 These Terms constitute a legally binding contract between you (the "User") and Ayinla Film Locations ("AFL", "we", "our", or "us"), and they govern all interactions, bookings, property listings, communication, and transactions conducted through the AFL platform.

1.2. Definitions and Interpretations

For clarity throughout these Terms, the following definitions shall apply:

"Guest" means any individual or entity who books or uses a space through the AFL platform.

"Host" refers to any individual or entity who owns, manages, or represents a space listed on the platform for rent or booking.

"User" includes both Guests and Hosts and any other individual interacting with the platform.

"Booking" means a confirmed agreement between Guest and Host facilitated through AFL for the temporary use of a location.

"Platform" includes the AFL website, applications, and all digital tools used to facilitate operations.

"Services" refers to any location booking, customer support, cleaning assistance, or other offerings made by AFL.

1.3. Eligibility and Account Responsibility

1.3.1 Users must be at least 18 years of age or the legal age of majority under Nigerian law to register or transact on the AFL platform.

1.3.2 Users agree to provide accurate, current, and complete information during registration, including valid means of contact (e.g., email, phone number) and valid bank/payment details.

1.3.3 Users shall not:

  • Use false identities
  • Create multiple accounts for malicious purposes
  • Impersonate another user or entity
  • Share login details with unauthorized third parties

1.3.4 Users are solely responsible for maintaining the confidentiality of their account credentials. AFL shall not be held liable for losses resulting from compromised accounts due to user negligence.

1.4. Scope of AFL's Role

1.4.1 AFL acts solely as a neutral third-party marketplace that:

  • Connects Hosts and Guests
  • Provides booking infrastructure
  • Facilitates customer service and optional post-use services

1.4.2 AFL is not a real estate agent, hotel manager, or space owner, and does not take possession or control of any listed property.

1.4.3 AFL does not guarantee the accuracy of Host descriptions, but undertakes due diligence to verify locations to a reasonable degree under the circumstances.

1.4.4 Guests and Hosts enter into booking agreements directly with each other, and AFL is not a party to any rental contract, lease, or occupancy license between them, except for enforcing platform rules and managing disputes.

1.5. Platform Access and Availability

1.5.1 AFL strives to ensure consistent access to the platform, but makes no guarantees of uninterrupted functionality due to:

  • Scheduled maintenance
  • Third-party server downtime
  • Internet outages or force majeure

1.5.2 AFL shall not be liable for loss of bookings, financial inconvenience, or reputational damage resulting from temporary downtime or system glitches.

1.5.3 We reserve the right to:

  • Restrict or revoke platform access at any time (especially in cases of abuse, fraud, or Terms violation)
  • Modify features or suspend services temporarily or permanently, with or without notice

1.6. User Conduct and Responsibilities

1.6.1 By using the platform, you agree not to:

  • Violate any Nigerian law, state regulation, or local ordinance
  • Use spaces for illegal or unapproved purposes (e.g., unlicensed filming, public disturbance)
  • Disrupt or damage the platform's operations through hacking, scraping, spamming, or overuse
  • Misrepresent property details (as a Host) or abuse a location's terms (as a Guest)
  • Harass, defame, or cause distress to AFL staff, Hosts, or Guests

1.6.2 Users are expected to:

  • Use the platform professionally and ethically
  • Adhere to the cancellation policies, cleaning responsibilities, and check-in/out times
  • Treat every location with care, ensuring it is left in the condition it was found

1.7. Intellectual Property and Content Rights

1.7.1 All text, photos, graphics, branding, and content on the AFL platform remain the exclusive intellectual property of AFL or its licensors and may not be copied, distributed, modified, or used without express written permission.

1.7.2 AFL reserves the right to:

  • Use listing images, space details, or event photos for promotional or testimonial purposes (with credit where applicable)
  • Remove, edit, or reject content uploaded by Users if it violates our policies, misleads other Users, or is deemed offensive.

1.8. Termination of Use

1.8.1 AFL reserves the right to suspend or terminate any account, listing, or booking without liability if:

  • The User violates platform policies
  • Fraud or impersonation is detected
  • There are repeated complaints, violations, or disputes

1.8.2 Users may also voluntarily delete or deactivate their account at any time by contacting support@ayinlafilmlocations.com.

1.8.3 Upon termination, Users forfeit any pending privileges on the platform. Outstanding transactions shall still be processed according to applicable cancellation, payment, and dispute policies.

1.9. Binding Agreement and Modifications

1.9.1 These Terms of Service shall be deemed accepted and binding the moment a User registers, books, or lists on the platform.

1.9.2 AFL reserves the right to amend these Terms at any time. Updated versions will be posted on the website and are binding upon publication.

1.9.3 Continued use of the platform after changes implies acceptance of the updated Terms.

2. PLATFORM USE, ELIGIBILITY & VERIFICATION PROCESS

This section sets out the rules governing who may use the Ayinla Film Locations (AFL) platform, under what conditions, and the verification procedures required to ensure safe, reliable, and lawful bookings. All users- whether Guests, Hosts, or representatives of a third party-must adhere strictly to these provisions. Non-compliance may result in restriction, suspension, or permanent removal from the platform.

2.1. Platform Access and User Eligibility

2.1.1 Minimum Age Requirement

To use the AFL platform, you must be at least 18 years old and legally capable of entering binding agreements under Nigerian law.

Minors are strictly prohibited from creating accounts, listing properties, or making bookings.

  • Any booking made on behalf of a minor (e.g., for a child model or actor) must be conducted and managed by a legal guardian or adult representative who assumes full responsibility.
  • AFL reserves the right to request age verification at any stage.

2.1.2 Legal and Mental Capacity

All users must be of sound mind and free from legal disqualifications that would impair their ability to contract, manage funds, or bear liability.

Users found to be impersonating another person or acting without proper legal capacity will be removed immediately.

2.1.3 Corporate Users

Businesses, media companies, or event organizers must be represented by an authorized agent or employee. AFL may require formal proof of authorization, such as:

  • A company ID
  • A letter of authorization
  • Corporate registration documentation (CAC certificate)

2.2. One User, One Verified Account

2.2.1 Single-Account Policy

Each user is allowed only one primary account on the AFL platform. Creating multiple accounts to bypass platform rules, duplicate listings, or manipulate reviews is strictly forbidden.

2.2.2 Account Suspension and Blacklisting

Duplicate, fraudulent, or suspicious accounts may result in any or all of the following:

  • Immediate account deactivation
  • Blacklisting of user's details (phone number, email, BVN if required)
  • Forfeiture of any pending earnings or bookings under investigation

2.3. User Identity Verification

To maintain transparency and trust, AFL requires verification of each user's identity before allowing hosting or booking.

2.3.1 KYC Documentation for All Users

All users must complete a basic Know-Your-Customer (KYC) procedure. Required documents may include:

  • Valid government-issued ID (e.g., NIN, International Passport, Driver's License, Voter's Card)
  • A valid phone number and email address
  • Profile photo (for internal use and trust scoring)
  • Optional: Proof of address or utility bill for high-value bookings

2.3.2 Host-Specific Requirements

All property owners or representatives seeking to list a space must undergo a stricter verification process, including:

  • Proof of ownership or right to sublet the space
  • Physical inspection by AFL (if required)
  • Agreement to AFL's Hosting Terms & Earnings Policy
  • Disclosure of whether the property is also listed on other platforms such as Airbnb, or managed by multiple agents

2.3.3 Guest-Specific Requirements

Guests making a booking must confirm identity and payment details. For higher-risk uses (e.g., parties, night events, commercial shoots), AFL may request:

  • A government-issued ID
  • Purpose of booking (with supporting details)
  • An emergency contact
  • Security deposit or insurance guarantee
  • Agreement to abide by space-specific and platform-wide rules

2.4. Use of Platform for Permitted Activities Only

2.4.1 Permitted Use Categories

Bookings on the AFL platform must fall under one or more of the following approved categories:

  • Media Production - Film, photography, interviews, documentaries, music videos, etc.
  • Events - Birthdays, bridal showers, corporate events, product launches, etc.
  • Meetings - Team meetings, seminars, small business conferences, etc.

Each use case will be evaluated for suitability based on the property listed and Host's disclosures.

2.4.2 Prohibited Uses

Users are strictly forbidden from using any listed property for the following purposes:

  • Illegal activities (e.g., drug use, money laundering, prostitution, child exploitation)
  • Religious or political rallies (unless expressly permitted)
  • Unlicensed commercial sales (e.g., betting operations, pop-up casinos)
  • Sleepovers or overnight stays-unless the Host explicitly allows this and marks it on the listing

Any violation may result in permanent suspension and legal action.

2.5. Booking Transparency & Use Declaration

2.5.1 Mandatory Disclosure of Use Case

All Guests must clearly declare the intended use of the space during booking. Falsifying or omitting details may lead to:

  • Booking denial or cancellation
  • Forfeiture of paid fees
  • Ban from future use

2.5.2 Special Use Approval

For bookings involving large crowds, alcohol, celebrities, stunts, fire usage, or sensitive themes (e.g., armed scenes, protests), the Guest must:

  • Request approval in advance
  • Provide a production plan or event schedule
  • Agree to AFL's Special Event or Production Guidelines

AFL or the Host may impose additional conditions or decline the booking.

2.6. Platform Moderation & Investigation Rights

2.6.1 Audit and Verification Rights

AFL reserves the right to investigate any user activity that appears:

  • Fraudulent
  • Suspicious
  • Misrepresentative

Such investigations may involve user interviews, third-party reports, photographic evidence, or law enforcement support.

2.6.2 Temporary Holds on Accounts or Payments

During any verification or dispute investigation, AFL may temporarily:

  • Suspend bookings
  • Withhold payouts
  • Prevent further account actions

2.6.3 Termination for Breach

Any verified breach of platform terms especially involving safety, honesty, or misuse of space-may lead to permanent account termination, blacklisting, and loss of platform privileges.

SECTION 3: BOOKING PROCEDURES, ACCEPTANCE & CANCELLATION CHANNELS

This section establishes the official framework for initiating, confirming, modifying, and canceling bookings on the Ayinla Film Locations (AFL) platform. It applies to all users of the platform, including Hosts, Guests, Agents, or third-party representatives, and is binding once any booking action is initiated.

Failure to comply with these procedures may lead to rejected requests, withheld payouts, loss of rights to dispute claims, or permanent suspension from the platform.

3.1. Booking Requests & Communication Standards

3.1.1 Booking Initiation

All bookings on the AFL platform must be initiated through one of the following official channels:

  • The AFL website or mobile application
  • An authorized AFL representative using official AFL emails or WhatsApp business accounts
  • In rare cases, manually through verified booking partners acting on behalf of AFL (upon written approval only)

All booking inquiries must include:

  • Intended use of space (media, event, or meeting)
  • Date(s) and exact time slot requested
  • Estimated number of people on-site
  • Special features needed (e.g., kitchen use, generator, access to rooftop, etc.)

3.1.2 Booking Communication Restrictions

  • Guests and Hosts must not bypass AFL by conducting private side-deals. Users caught engaging in direct offline bookings to avoid platform charges will face permanent bans and legal claims for damages.

3.1.3 Response Expectations

Hosts are expected to respond to booking requests within 24 hours, except in cases where auto-acceptance is enabled.

3.2. Booking Confirmation Process

3.2.1 Pre-Confirmation Requirements

Before confirming any booking, AFL and/or the Host may request additional verification from the Guest. These may include:

  • Upload of valid ID
  • Payment of security deposit or insurance fee
  • Signature of production agreements, usage waivers, or clean-up addendums

3.2.2 Host Acceptance and Confirmation

A booking is considered "Confirmed" only when:

  • The Host accepts the booking request via the platform or official communication channel, and
  • The Guest completes payment (or deposit, if split payment is approved), and
  • AFL issues an official Booking Confirmation via email or WhatsApp.

Without a formal confirmation, the booking is invalid.

3.3. Time Slot Integrity & Hour Counting

3.3.1 Minimum Booking Units

All bookings are subject to a minimum duration based on the Host’s listing (e.g., 2 hours minimum). Hourly bookings are calculated in full-hour blocks only.

  • Example: If a Guest uses a space for 3 hours and 30 minutes, it will be rounded up to 4 hours.
  • Overtime (see below) incurs additional hourly fees as per the Host’s listed rate.

3.3.2 Setup and Tear-Down Time

Unless specifically agreed upon, setup and pack-down time must be included within the booked hours.

Guests must not arrive earlier or leave later than their reserved time, unless:

  • Additional time is booked in advance, or
  • Host explicitly grants an extension and AFL is notified.

3.4. Changes, Modifications, and Extensions

3.4.1 Change Requests

Any Guest wishing to modify a booking—whether to change the date, number of attendees, or scope of use—must:

  • Submit a formal change request via AFL or approved channel
  • Receive Host’s approval and AFL’s re-confirmation
  • Pay any difference in rate or charges due

Change requests are not valid unless processed by AFL. Verbal or informal messages do not count as official change approvals.

3.4.2 On-Site Extensions

If a Guest exceeds their booked hours during use:

  • Additional hours will be charged automatically at the Host’s overtime rate
  • If the Host or AFL staff are present and available, extension may be granted immediately
  • Otherwise, unauthorized overtime may lead to ejection, fines, or bans

3.5. Booking Cancellation by Guest

See Section 5 (Cancellation & Refund Policy) for full terms.

3.5.1 Before Confirmation

Guests may cancel a booking request anytime before it is confirmed without penalty.

3.5.2 After Confirmation

Once a booking is confirmed, cancellation will be subject to the applicable policy:

  • Flexible
  • Standard
  • Strict

The policy in place will determine the percentage of refund, cancellation fees, and any deductions for late notice.

3.6. Booking Cancellation by Host

3.6.1 Acceptable Grounds for Cancellation

Hosts who cancel without valid cause may face:

  • Property damage or last-minute emergency
  • Non-compliance by Guest (e.g., misrepresented use case, failure to pay balance)
  • Natural disaster or event beyond control (act of God).

3.6.2 Penalties for Host-Initiated Cancellations

Hosts who cancel without valid cause may face:

  • Temporary delisting of their space
  • Deduction of earnings from future bookings
  • Negative review on their profile
  • Suspension from AFL for repeated violations

3.7. Platform-Initiated Booking Rejection or Suspension

AFL reserves the right to cancel or suspend any booking at any stage if:

  • Fraud, misrepresentation, or illegal intent is detected
  • The Host or Guest violates platform terms or local laws
  • Payment issues arise or security concerns are flagged
  • Disputes escalate or safety concerns emerge

Guests will be entitled to full or partial refunds depending on the reason for cancellation, and such decisions will be governed by AFL’s internal policies.

SECTION 4: PAYMENT STRUCTURE, SERVICE FEES & CLEANING CHARGES

This section details the monetary framework upon which the Ayinla Film Locations (AFL) platform operates. It governs how payments are made, how platform service fees are applied, how cleaning fees are handled, and the processes by which Hosts are credited and Guests are charged.

All financial obligations under this section are enforceable under Nigerian law and binding upon every party involved in a booking.

4.1. Currency of Transactions and Payment Channels

4.1.1 Nigerian Naira as Primary Currency

All transactions on the AFL platform are denominated in Nigerian Naira (₦). This includes booking prices, service charges, refunds, penalties, and any applicable taxes or levies.

4.1.2 Payment Channels

Guests shall remit payments via any of the following secure channels approved by AFL:

  • Debit/Credit Cards
  • Bank Transfer (to AFL’s designated corporate account)
  • Paystack, Flutterwave, or any third-party fintech gateway officially integrated by AFL
  • USSD or Mobile Wallets (where applicable)

4.1.3 Confirmation of Payment

No booking is considered valid or “Confirmed” until payment is fully received and a Booking Confirmation is issued by AFL to both Host and Guest.

4.2. Commission / Service Fees (Platform Fees)

4.2.1 Overview of Platform Commission

Ayinla Film Locations (AFL) earns revenue by charging a commission on every confirmed booking to sustain platform operations, handle customer support, pay staff, cover liability insurance, vet listings, and improve user security.

4.2.2 Guest Service Fee (Platform Fee from Guest)

AFL charges Guests a service fee ranging from 7% to 10% of the subtotal cost of the booking. This fee:

  • Excludes cleaning charges
  • Is added on top of the base booking rate
  • Is non-refundable unless the booking is canceled and qualifies for refund under Section 5

Example:

If a space is listed at ₦100,000 and the platform fee is 10%, the Guest will be charged: ₦100,000 + ₦10,000 = ₦110,000 Total Payable (excluding cleaning)

4.2.3 Host Service Fee (Optional)

While AFL currently does not deduct any commission from Hosts’ earnings by default, it reserves the right to implement a Host Service Fee of 7% to 10% in the future for premium services, listings promotion, or payout priority.

Where implemented, Hosts will be duly notified and must consent to the changes.

4.3. Cleaning Fees

4.3.1 Who Pays the Cleaning Fee?

Cleaning fees are paid by the Guest separately from the platform’s commission. This fee:

  • Is fixed by the Host at the time of listing
  • Is added during checkout
  • Goes directly to the Host (or to AFL, where AFL’s cleaning service is used)

Example:

If a Host charges ₦20,000 for cleaning and the space rental is ₦100,000, the Guest will pay: ₦100,000 + ₦20,000 = ₦120,000 (Subtotal)

Then AFL platform fee (10%) of ₦10,000

Final Payable: ₦130,000

4.3.2 When AFL Provides the Cleaning

Where AFL provides post-event or post-production cleaning through its internal or contracted service:

  • AFL will charge the Guest a fixed or percentage-based fee
  • AFL retains this cleaning fee in full
  • The Host is relieved of the cleaning responsibility for that booking

4.3.3 Cleaning Fee Is Not Commissionable

Platform commission of 7%–10% is applied only to the space booking subtotal, and not to the cleaning fee. This ensures Hosts receive full value for cleaning without deduction.

4.4. Security Deposits and Add-Ons

4.4.1 Security Deposits

Certain bookings (especially social events or productions with expensive equipment) may require a refundable security deposit, set either by AFL or the Host. This amount is:

  • Held securely by AFL
  • Refunded within 5–10 working days after successful inspection
  • Forfeited partially or fully if damages or breach of rules are discovered

4.4.2 Additional Charges

AFL reserves the right to charge Guests additional amounts after booking for:

  • Overtime usage
  • Breach of occupancy limit
  • Property damage
  • Use of restricted areas without permission

All such charges must be supported by evidence (photos, video, or witness statement) and approved by AFL.

4.5. Payouts to Hosts

4.5.1 Timing of Payout

Hosts will receive their earnings from AFL within 48–72 business hours after the successful conclusion of the booking, provided:

  • No dispute or complaint has been raised
  • AFL has confirmed property left in good condition
  • Bank details are correctly provided

4.5.2 Payout Breakdown

Hosts will be paid:

  • The full space rental amount
  • Plus cleaning fee (if charged by Host)
  • Minus any AFL-hosted service fee (if applicable in future)

4.5.3 Dispute Delay Clause

In case of a dispute between Guest and Host, AFL may temporarily withhold Host’s payout pending resolution. Both parties will be notified and invited to submit evidence for arbitration (see Section 7).

4.6. VAT, Taxation & Government Compliance

4.6.1 VAT or Regulatory Taxes

Where applicable, AFL reserves the right to add Value Added Tax (VAT) or other applicable government levies to the Guest’s invoice.

4.6.2 Remittance

AFL will ensure proper remittance of all collected VAT or taxes in compliance with Federal Inland Revenue Service (FIRS) regulations and other state-level tax boards.

4.6.3 Host’s Tax Responsibility

It remains the sole responsibility of each Host to declare and pay any income tax due on their earnings from bookings. AFL does not offer tax advisory or filing services on behalf of Hosts.

SECTION 5: CANCELLATION & REFUND POLICY

Effective Date: July 21, 2025

5.0 Overview

This Cancellation & Refund Policy outlines the rights, duties, obligations, and limitations governing the cancellation of bookings and issuance of refunds on the Ayinla Film Locations (AFL) platform. The policy aims to provide a fair balance between flexibility for Guests (space users) and assurance for Hosts (space providers), while preserving the operational integrity of the AFL marketplace.

This section applies to all users of the AFL platform and forms an integral part of the legally binding agreement between all parties—namely, the Guest, the Host, and AFL as a facilitating intermediary.

By confirming any booking on the AFL platform, users consent to this policy and agree to be bound by its provisions, including any amendments posted periodically.

5.1 Definitions

For the purposes of this policy, the following definitions shall apply:

“Booking” refers to the confirmed reservation of a space for a specific date, time, and purpose through the AFL platform.

“Cancellation” refers to a unilateral or mutual termination of a confirmed booking prior to the scheduled usage date.

“Refund” means a return of part or all of the payment made by the Guest, subject to applicable terms and conditions.

“Force Majeure” denotes unforeseeable events or circumstances that prevent either party from fulfilling contractual obligations, as outlined in Section 5.5.

“Platform Service Fee” means AFL’s standard commission of 7%–10% charged on all bookings, excluding cleaning fees.

5.2 Cancellations by Guest

5.2.1 General Rule

A Guest who wishes to cancel a confirmed booking may do so via the AFL platform or by official written notice to support@ayinlafilmlocations.com. Refund eligibility shall depend on the timing of the cancellation and the Host’s selected cancellation policy, which is publicly displayed on each listing.

5.2.2 Cancellation Policies

There are three (3) categories of cancellation policies available on the AFL platform, chosen by the Host at the time of listing:

5.2.3 Grace Period: Instant Cancellations

Guests may cancel a booking within 24 hours of confirmation for a full refund, provided that the booking start time is at least 48 hours away at the time of cancellation.

5.3 Cancellations by Host

5.3.1 Conditions for Cancellation

Hosts may cancel bookings only under legitimate, justifiable conditions including but not limited to:

  • Sudden property damage, structural issues, or utility failure.
  • Immediate health or safety concerns.
  • Emergency repairs or legal restrictions.
  • Verified Force Majeure scenarios.

Unacceptable reasons include double bookings, personal inconvenience, failure to prepare the property, or price disputes.

5.3.2 Penalties for Host Cancellations

If a Host cancels a confirmed booking without legitimate justification:

  • The Guest shall receive a full refund, including service and cleaning fees.
  • The Host may be subject to:
    • A penalty deduction of ₦10,000 to ₦50,000.
    • Temporary account suspension or visibility demotion.
    • Strike notice or full delisting for repeated offenses.

5.4 Cleaning Fee and VAT Exclusions

Cleaning fees are always refunded in full if the space was not used or accessed.

The AFL commission (7%–10%) excludes cleaning fees and only applies to the booking subtotal.

VAT (if applicable) may be non-refundable, especially where remitted to government authorities or processed by third-party vendors.

5.5 Force Majeure Clause

5.5.1 What Constitutes Force Majeure?

Events beyond human control that may qualify include:

  • Natural disasters (e.g., earthquake, flooding, lightning).
  • Sudden deaths, hospitalizations, or severe health incidents.
  • Governmental restrictions or sudden lockdowns.
  • Violent civil unrest, protests, or curfews.
  • Power grid failure or environmental hazard declarations.

5.5.2 Rights of Parties

  • Either party may cancel without liability or penalty.
  • Full refunds may be issued, including cleaning fees and VAT, subject to verification.
  • AFL reserves the right to request proof (e.g., medical reports, official letters, news articles).

5.6 Partial Use, Early Departure & No Shows

5.6.1 Early Departure

Guests who leave early are not entitled to refunds for unused time unless:

  • The space was misrepresented or unusable.
  • A dispute was raised within 2 hours of check-in.

5.6.2 No-Show Policy

No refunds are issued for Guests who fail to appear without cancellation.

  • Disputes submitted after the booking has concluded without evidence.
  • Guest misuse of the property, violation of house rules, or property damage.
  • Services or add-ons used and completed (e.g., lighting rentals, generators).

Continued use of the platform after such updates shall constitute binding acceptance of the revised terms.

Providers, and Third-Party Vendors. By accessing, booking, listing, or engaging with AFL, you expressly agree to be bound by the provisions outlined herein.

6.1. Dispute Resolution Mechanism

6.1.1. Initial Good-Faith Resolution

Before escalating any issue to a formal resolution mechanism, both Hosts and Guests are required to attempt to resolve disputes amongst themselves in good faith. This includes:

  • Direct communication via AFL messaging channels or official contact details.
  • Attempted mediation facilitated by AFL customer support if either party requests assistance.
  • Submission of all relevant evidence (e.g., photos, time-stamped communications, invoices, or video footage) to help AFL assess the matter.

6.1.2. Internal Review by AFL

If both parties fail to reach a resolution independently:

  • AFL shall have the discretionary right to intervene and mediate the matter.
  • AFL may request additional documentation, conduct internal investigations, or temporarily freeze any pending payouts until the matter is resolved.
  • AFL’s internal decision may consider community conduct, historical violations, and fairness to both parties, though it shall not be legally binding unless both parties agree to comply voluntarily.

6.1.3. Arbitration Clause

If the matter cannot be resolved internally, the disputing parties agree that:

  • All unresolved legal matters shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act (Cap A18) Laws of the Federation of Nigeria, 2004, or any subsequent replacement legislation.

  • That any user-generated content (e.g., reviews, listing descriptions, photos) is accurate, complete, or free from misrepresentation.

6.2.3. Situations of Non-Liability

AFL shall not be liable for any:

  • Physical injuries, accidents, or fatalities occurring on or within any listed property.
  • Property damage whether due to Guest conduct, natural elements, or third party interference.
  • Booking failure, delay, or disruption caused by network outages, system downtime, or Host unavailability.
  • Misconduct or criminal activity by any Guest, Host, or third party during or after a booking.
  • Loss of data, reputation, emotional distress, or business opportunity as a result of a listing, cancellation, or dispute.
  • Unauthorized use or subletting of a Host’s property by Guests or third parties.
  • Content uploaded by Hosts or Guests that results in defamation, copyright infringement, or privacy violations.

6.2.4. Limitation of Financial Claims

To the maximum extent allowed by Nigerian law, AFL’s aggregate liability for any claim relating to use of the platform shall not exceed the total fees paid to AFL for the specific transaction from which the claim arises. In no event shall AFL be liable for indirect, incidental, punitive, or consequential damages.

6.2A Insurance Coverage and Exclusions

6.2A.1 Overview and Purpose

AFL facilitates insurance arrangements (“Insurance Coverage”) through licensed Nigerian insurers to protect Hosts against accidental property damage or third-party injury occurring during confirmed bookings made via the AFL platform. This coverage is designed to enhance Host confidence without altering AFL’s role as a digital intermediary. Separately, AFL maintains Professional Indemnity Insurance to protect AFL itself against claims arising solely from administrative errors or omissions in its limited verification and approval functions.

6.2A.2 Scope of Coverage

(a) Insurance Coverage applies strictly to:

i. Accidental property damage caused by Guests or their invitees during a confirmed booking; and

ii. Accidental bodily injury sustained by third parties during the same booking period.

(b) Coverage is valid only for bookings that are approved, paid for, and the AFL platform; informal or off-platform use is excluded.

(c) This insurance is event-specific and does not replace any existing contents policy maintained by the Host.

6.2A.3 Professional Indemnity (AFL Operational Protection)

(a) Hosts retain full control over creating listings and setting property rules; is limited to approving and verifying properties.

(b) Professional Indemnity Insurance maintained by AFL provides protection to AFL against claims arising from AFL’s own administrative mistakes (e.g., miscommunications or errors in approval).

(c) This indemnity cover does not extend to Hosts or Guests and does not property-focused liability coverage above.

6.2A.4 Exclusions

(b) Negligence or Rule Violations

Where damage or injury arises from violation of Host rules, AFL community guidelines, or reckless conduct (e.g., unsafe behaviour, exceeding occupancy), coverage is void and Guest liability applies.

(c) Outside Booking Duration Coverage applies strictly within the defined booking period (check-in to check-out). Any incident outside this timeframe is excluded.

(d) Guest-Owned Equipment or Personal Property The insurance does not extend to Guest-owned equipment, vehicles, or personal effects.

(e) Pre-Existing Conditions Damage or defects existing prior to the booking are excluded. Hosts should document property condition prior to each booking.

6.2A.5 Guest and Host Responsibilities

(a) Guests must comply with Host rules, AFL guidelines, and safety iolation voids coverage and triggers personal liability.

(b) Hosts must ensure property details and safety instructions are accurate y updated on AFL.

(c) AFL’s role in insurance is facilitative only; AFL is not itself the insurer and as coordinator between Hosts and the insurance provider.

6.2A.6 Transparency and Policy Alignment

(a) These insurance provisions shall also be reflected in AFL’s Property Community Guidelines, and related policy documents.

(b) This alignment ensures both Hosts and Guests understand the scope and limitations of coverage, reducing disputes and fostering trust across the platform.

6.3. Indemnification by Users

6.3.1. Definition and Application

To “indemnify” means that you, as a user of the AFL platform (whether Host, Guest, or other), agree to protect AFL from any loss or legal responsibility that arises due to your actions or omissions.

6.3.2. Events Triggering Indemnity

You agree to defend, indemnify, and hold harmless Ayinla Film Locations, its founders, officers, directors, employees, partners, legal advisors, and affiliates from and against all claims, damages, losses, liabilities, settlements, and expenses (including legal fees and court costs) arising out of or related to:

  • Your breach of these Terms and Conditions.
  • Your violation of Nigerian laws or third-party rights.
  • Your negligent behavior, misconduct, or misrepresentation.
  • The physical condition or hazards present in a property you listed.
  • Any damage caused by your guests, invitees, or production crew.
  • Your failure to follow through with a confirmed booking or cancellation protocol.
  • Any unauthorized filming, nudity, smoking, or illegal activity conducted in a Host’s space.

6.3.3. Survival of Indemnity

This indemnity obligation shall survive the termination of your relationship with AFL and shall remain in full force even after your account is deleted or the platform is discontinued.

6.4. Force Majeure Clause

6.4.1. Meaning and Applicability

Force Majeure refers to events beyond the reasonable control of Ayinla Film Locations, which prevent or delay the platform from fulfilling its obligations or enabling the normal functioning of the booking system.

6.4.2. Examples of Force Majeure

These may include but are not limited to:

  • Acts of God (e.g., floods, earthquakes, lightning, pandemics)
  • War, military conflict, terrorist attacks, or civil unrest
  • Government-imposed lockdowns, curfews, or policy changes
  • Cyberattacks, large-scale internet outages, or data breaches
  • Strikes, labor shortages, or power grid failures
  • Sudden property unavailability due to court injunctions or death of Host

6.4.3. Consequences of Force Majeure

In the event of such occurrences:

  • AFL shall not be held liable for any cancellations, damages, or refund delays caused by the event.
  • AFL shall communicate any Force Majeure-related delays to all affected users where possible.
  • Bookings affected by Force Majeure may be rescheduled, credited, or cancelled in accordance with the then-applicable Cancellation & Refund Policy.
  • Guests and Hosts are advised to seek private insurance coverage for events beyond AFL’s protection.

6.5. Legal Disclaimer

Nothing in this section shall be interpreted to limit or restrict your statutory rights under Nigerian law where such rights are non-waivable. This Section is intended to operate within the bounds of existing consumer protection, civil, and commercial legislation in Nigeria.

7. Dispute Resolution & Arbitration Mechanism

This section outlines the official processes for resolving any disagreements, misunderstandings, or conflicts that may arise between users (Guests or Hosts) and Ayinla Film Locations (AFL), including but not limited to disputes over bookings, payments, damages, cancellations, and violations of platform rules.

AFL is committed to resolving disputes fairly, transparently, and in a manner that protects the integrity of the platform and the rights of both Hosts and Guests.

7.1. Duty to Resolve Amicably First

7.1.1. Initial Communication & Complaint Reporting

Before resorting to formal procedures, both parties (Host and Guest) are expected to make every reasonable effort to resolve issues amicably.

Parties must report the dispute to AFL within 48 hours of the incident or of discovering the issue.

Full details should be provided, including:

  • Booking ID
  • Date of incident
  • Evidence (photos, video, screenshots, messages)
  • Statement of what resolution is being sought

7.1.2. Obligation to Cooperate

Both parties must respond to AFL’s request for information, explanation, or supporting evidence within a reasonable time (typically 3 business days) or risk forfeiting their right to escalate.

7.2. AFL Mediation Process

7.2.1. Internal Review Team

Upon receiving a dispute complaint, AFL will activate its Internal Review Unit, which will:

  • Investigate the matter thoroughly
  • Communicate with both Host and Guest
  • Assess evidence fairly and impartially

7.2.2. Provisional Actions

Where necessary, AFL may:

  • Withhold payout to Host
  • Freeze the booking funds temporarily
  • Temporarily suspend an account pending investigation

7.2.3. Timeline of Resolution

AFL aims to resolve most disputes within 7 to 10 business days. Complex cases may take longer, depending on the availability of evidence or user cooperation.

7.2.4. Final Platform Decision

Once the internal investigation is concluded, AFL will issue a final decision and communicate this in writing via email.

  • The decision is binding with respect to internal remedies (e.g., refunds, payout deductions, platform bans)
  • Users retain the right to escalate externally (see Section 7.3)

7.3. External Arbitration & Legal Action

7.3.1. Arbitration Clause

If either party is dissatisfied with AFL’s final decision, they may refer the dispute to binding arbitration under the laws of the Federal Republic of Nigeria.

  • Arbitration shall be held in Lagos State, unless otherwise agreed

  • All users of the AFL platform (Hosts and Guests)

  • Any successor entities or representatives

By accepting these Terms & Conditions, users agree to resolve disputes in accordance with this clause and waive alternative legal channels unless otherwise permitted herein.

8. COMMUNITY GUIDELINES

The following Community Guidelines form a binding part of the Ayinla Film Locations (AFL) Terms and Conditions and are established to ensure a safe, respectful, and productive environment for all users—both Hosts and Guests—across the platform. These guidelines are enforceable and shall be treated as conditions of continued use of the AFL platform and services.

8.1. Respect for People and Property

All users are expected to behave responsibly, courteously, and professionally while engaging with the platform and during any physical interaction involving a booked space.

8.1.1. Zero Tolerance for Abuse or Harassment

Definition: Abuse includes verbal threats, physical aggression, hate speech, sexual harassment, or any conduct that causes emotional or physical harm.

Example: Yelling at a host’s staff, making sexist comments, or threatening violence.

Consequence: Immediate account suspension, forfeiture of payment, and potential legal action.

8.1.2. Respect for Host and Guest Boundaries

Hosts must respect the privacy and autonomy of Guests. Likewise, Guests must not make intrusive demands, enter restricted areas, or engage in any conduct not pre-approved.

Example: A guest entering the host’s private residence or storage area during a shoot.

Penalty: Booking termination and blacklisting from the platform.

8.2. Cleanliness, Care & Restoration

All spaces must be returned to the condition in which they were found—clean, orderly, and undamaged.

8.2.1. No Littering or Property Neglect

Guests must clean up after their use or pay applicable cleaning fees.

Hosts must ensure their property is reasonably clean before a Guest arrives.

Example: Leaving trash, spilled liquids, or broken props behind.

Penalty: Fines, withheld payouts, or platform suspension.

8.2.2. Furniture and Equipment Handling

Guests must not damage or relocate property items without prior consent.

Host Responsibility: Indicate fragile or fixed items that must not be moved.

Guest Responsibility: Refrain from unsanctioned changes or risk being liable.

8.3. Accurate Representation of Spaces

8.3.1. Hosts Must Not Misrepresent Properties

All photos, descriptions, amenities, and availability must be honest and up to date.

Prohibited Misrepresentations: Uploading internet photos of another space; hiding known defects like poor lighting or leaking ceilings.

8.3.2. Guests Must Use Spaces Only as Declared

Result: Immediate termination of booking without refund.

8.5. Safety & Security Protocols

Any act that violates Nigerian law (e.g., drug use, fraud, money laundering) is strictly prohibited.

Instant Ban Policy: Offenders will be reported to law enforcement, and banned from the platform permanently.

8.5.2. Fire, Electrical, and Equipment Safety

Guests must avoid overloading sockets, using open flames, or interfering with property wiring without permission.

Hosts must provide clear safety instructions for complex spaces (e.g., studios, kitchens, rooftops).

Example: Connecting high-powered production lights without a stabilizer or the Host’s permission.

8.6. Platform Communication Etiquette

8.6.1. No Off-Platform Booking Solicitation

AFL strictly prohibits attempts to bypass the platform for direct bookings.

Example: A Guest sending their phone number via chat to negotiate offline.

Enforcement: Permanent removal from the platform and forfeiture of earnings.

8.6.2. Use of Official Channels

All communication before and after booking must be through AFL-approved channels (chat, email, support).

This ensures dispute traceability, protection under platform policies, and response integrity.

8.7. Reviews, Ratings, and Public Comments

8.7.1. Reviews Must Be Truthful and Respectful

Users are allowed to post honest reviews, but defamation or personal attacks are prohibited.

Disallowed Content: Insults, false accusations, threats, and racial slurs.

Review Disputes: AFL may remove defamatory reviews after investigation.

8.7.2. Hosts and Guests Must Not Bribe or Coerce Reviews

You may not offer discounts or favors in exchange for positive ratings, nor threaten retaliation for poor reviews.

8.8. Compliance, Warnings, and Sanctions

AFL uses a three-strike warning system. Repeated breaches of community guidelines may result in:

  • Warning 2: Temporary suspension
  • Warning 3: Permanent ban

8.8.2. Immediate Suspension Grounds

Some acts warrant immediate and permanent bans regardless of warning stage. These include:

  • Violence
  • Illegal activity
  • Fraudulent listings
  • Platform manipulation

8.9. Right to Modify or Enforce

Ayinla Film Locations reserves the right to:

  • Interpret and enforce these rules at its sole discretion
  • Modify the Community Guidelines with or without notice
  • Take any legal action deemed necessary to protect the integrity of the platform, its Hosts, and Guests

9. SOCIAL EVENT TERMS

This section governs the booking, hosting, conduct, and overall use of spaces on the Ayinla Film Locations (AFL) platform specifically for social events, which may include, but are not limited to, private parties, dinners, celebrations, launch events, networking mixers, intimate gatherings, and other non-production or non-commercial functions.

All users of the platform—both Hosts and Guests—are required to understand, accept, and comply with the provisions outlined in this section when a booking is made or accepted for social use. This is necessary to ensure proper accountability, neighborhood peace, and platform integrity.

9.1. Definition of a Social Event

For the purpose of these Terms and Conditions:

A social event shall be defined as:

  • Any event or gathering primarily intended for personal, celebratory, or recreational purposes;
  • Events not intended for commercial media production (e.g., films, TV, photoshoots) or business meetings/workshops;
  • Events that involve small to moderate crowds, catering, music, or light entertainment.

Examples include:

  • Birthday parties
  • Proposal dinners
  • Game nights
  • Intimate weddings
  • Bridal or baby showers
  • Friends’ hangouts
  • Small religious or cultural gatherings

Note: Events with large guest attendance, live performances, ticket sales, or sound amplification may be classified as high-impact events and will be governed under additional terms (see 9.6).

9.2. Host Obligations for Social Events

9.2.1 Space Approval & Suitability

Hosts must clearly indicate whether their property is open to social event bookings.

Hosts are responsible for:

  • Describing the event suitability of their space accurately
  • Specifying guest limits, noise tolerance, and any sensitive areas (e.g., shared compounds, nearby schools or churches)
  • Indicating if alcohol, music, or catering is allowed

Failure to disclose restrictions may result in penalties, withheld payouts, or listing suspension.

9.2.2 Availability of Amenities

If the Host lists their property for social use, it must:

  • Provide basic facilities such as restrooms, running water, power supply, and waste disposal
  • Be in a clean, usable condition prior to the Guest’s arrival
  • Ensure privacy and safety for guests during the event

Where certain amenities (e.g., speakers, power backup) attract additional charges, the Host must declare this during listing or booking confirmation.

9.3. Guest Responsibilities for Social Events

9.3.1 Accurate Event Disclosure

Guests must disclose the true nature of the event during booking.

Guest must include in their booking:

  • Type of event
  • Number of expected attendees
  • Whether music, alcohol, external vendors, or sleepover is involved
  • Time of arrival and departure

Failure to disclose truthfully may result in cancellation, eviction from the venue, loss of deposit, and a permanent ban from AFL.

9.3.2 Respect for Property and Neighborhood

Guests are obligated to:

  • Respect Host rules on noise, conduct, and curfews
  • Avoid actions that may cause damage, public nuisance, or neighborhood disruption
  • Ensure their guests comply with space rules, and that no unauthorized activities take place

9.3.3 Supervision and Security

For events exceeding 20 attendees, AFL may require the Guest to:

  • Hire security personnel
  • Present a list of guests (upon Host request)
  • Sign additional liability forms or submit higher damage deposits

AFL and the Host may deny access or halt the event if security measures are not adhered to.

9.4. Noise Control and Community Consideration

9.4.1 Noise Levels

Social events must not violate community noise thresholds or disturb neighboring properties.

Events with DJs, live music, or loudspeakers must be:

  • Pre-approved by the Host
  • Scheduled to end by 10:00 PM in residential areas (unless otherwise agreed)
  • Monitored by the Guest to ensure compliance

AFL may impose fines or ban future bookings for complaints of excessive noise.

9.4.2 Parking and Traffic Management

Guests must not block access roads, gates, or park indiscriminately in residential environments.

Hosts are advised to communicate available parking space and restrictions in advance.

9.5. Alcohol, Smoking, and Illegal Substances

Hosts may choose to allow or prohibit the use of alcohol or smoking on their premises.

The Guest must abide by the Host’s rules at all times.

Illegal substances, under Nigerian law, are strictly prohibited across all locations booked via AFL.

AFL has a zero-tolerance policy on any event involving:

  • Narcotic usage
  • Gang activity
  • Armed escort or cult-related behavior
  • Criminal activity of any kind

Violation will result in reporting to local authorities and blacklisting from the platform.

9.6. Large Events or High-Impact Bookings

Events exceeding 30 guests or involving heavy sound, ticketing, performances, or professional vendors (e.g., catering, photography, lighting teams) may be classified as high-impact.

AFL reserves the right to:

  • Require a special damage deposit
  • Demand extra insurance
  • Impose additional service fees (5%–15%)
  • Decline the booking if the space is deemed unfit

9.7. Clean-Up and Waste Disposal

9.7.1 Guest Duty

The Guest is required to leave the space in a tidy condition post-event.

All personal items, waste, and decorations must be cleared from the venue at the end of the booking period.

9.7.2 Host-Set Cleaning Fees

Hosts may charge a reasonable cleaning fee, disclosed during listing, to cover the cost of restoring the venue to its original state.

AFL recommends photos be taken before and after the event to resolve potential disputes.

9.8. Damages, Insurance & Liability

Guests are liable for any damage caused during the event.

AFL’s accidental damage protection (if activated) only covers unforeseen accidents—not negligence or disregard for rules.

AFL advises Hosts to inspect their property immediately after each event.

AFL may mediate any dispute, but Hosts and Guests agree to abide by its findings.

9.9. Prohibited Events

The following event types are prohibited on AFL, unless express written permission is obtained:

  • Strip parties or sex-themed events
  • Political rallies
  • Weapon demonstrations or training
  • Events without clear organizers
  • Events involving live animals (except with written consent)

9.10. Breach of Social Event Terms

Any breach of these terms may result in:

  • Cancellation without refund
  • Forfeiture of deposit
  • Platform suspension or ban
  • Legal reporting (where necessary)

10. PRIVACY NOTICE

12.1. Entire Agreement

12.1.1. Binding Nature of These Terms

These Terms and Conditions — including all sections, policies, addendums, and annexes such as the:

  • Terms of Service
  • Fees Overview
  • Cancellation & Refund Policy
  • Community Guidelines
  • Social Event Terms
  • Privacy Notice
  • Platform Usage Rules
  • Insurance or Liability Disclaimers
  • Any Listing Agreement entered into by a Host or Agent

— collectively constitute the entire agreement between the User and Ayinla Film Locations (AFL).

12.1.2. Supersession of Previous Agreements

This Agreement supersedes any prior oral, written, or implied communications, assurances, proposals, or representations that may have existed between the parties — whether made via email, phone, social media, WhatsApp, or in-person meetings — unless explicitly incorporated into this Terms of Use.

Even if you had early interactions with AFL before the launch of the website or platform (e.g., direct bookings, informal arrangements, verbal agreements), this document overrides any of those earlier dealings. Going forward, only the written policies on the platform are valid and enforceable.

12.1.3. No Oral Modifications

No oral statements or informal promises made by AFL staff, agents, or representatives shall modify, override, or waive any portion of these Terms.

Any future adjustment to these Terms shall only be valid if in writing and publicly published or officially communicated by AFL through its platform or email system.

12.2. Severability

If any specific clause or part of this Agreement is found to be invalid, illegal, or unenforceable under any applicable Nigerian law or regulation, that part shall:

12.4. Governing Law and Jurisdiction

These Terms shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria, specifically:

  • The 1999 Constitution of the Federal Republic of Nigeria
  • The Nigerian Contract Laws
  • The Nigeria Data Protection Regulation (NDPR) 2019 and Data Protection Act 2023
  • Tenancy Law of Lagos State 2011, and other related laws in respect of Recovery of Premises
  • Intellectual Property Laws such as Copyright Act 2022, Trademarks Act Cap. T13 LFN 2004

12.4.2. Jurisdiction

All legal disputes or claims arising out of or relating to the use of Ayinla Film Locations’ platform, services, or Terms shall be subject to the exclusive jurisdiction of the courts in Lagos State, Nigeria.

It establishes the ownership structure, limitations of use, and the permitted and prohibited engagements by Hosts, Guests, and third parties.

13.1 Ownership of Platform Content and Materials

13.1.1 Platform-Owned Intellectual Property

All content, software, code, graphics, data compilations, trademarks, logos, service names, layouts, designs, and functionalities presented on the AFL platform—including the website, social media pages, mobile versions, promotional materials, and any derivatives thereof—are exclusively owned and protected by Ayinla Film Locations or its affiliated licensors and partners.

  • This includes but is not limited to:
    • The name “Ayinla Film Locations (AFL)”
    • All proprietary copywriting and service models
    • User interface (UI) and user experience (UX) architecture
    • Platform workflow logic
    • Motion graphics, imagery, audio/video materials used on the site

13.3 User-Generated Content and Licensing

13.3.1 Ownership of Submissions

Ayinla Film Locations does not claim ownership over photos, videos, property descriptions, reviews, or other content submitted by Hosts, Guests, or third parties (collectively “User Content”). However, by submitting such content, the user grants AFL a worldwide, royalty-free, transferable, and non-

exclusive license to use, display, reproduce, publish, promote, modify, or distribute such content on its platform, social media, advertisements, or press coverage.

13.3.2 Scope of Use by AFL

This license allows AFL to:

  • Promote spaces listed on the platform
  • Showcase booking success stories
  • Publish customer feedback or testimonials
  • Share Host property images across platforms (Instagram, LinkedIn, Twitter/X, etc.)
  • Archive past content for platform improvement and analytics

13.3.3 User Responsibility for Copyright Compliance

Users submitting content must ensure they hold full rights and authority to grant AFL such a license. AFL shall not be liable for any copyright infringement or IP disputes that arise from content submitted by users without rightful authorization.

13.4 Protection of AFL Intellectual Innovations and Business Concepts

13.4.1 Proprietary Business Methods

All business systems, pricing models, dispute resolution workflows, host vetting strategies, and integration processes uniquely built by AFL to operate its location marketplace are the exclusive intellectual property of the company.

  • Any Host, platform user, or partner who attempts to replicate or appropriate these systems outside the scope of an AFL-approved collaboration will be in breach of this agreement and subject to legal action.

13.4.2 Technology and Algorithmic Logic

The platform’s backend operations, including space verification automation, trust scoring, search sorting logic, payment reconciliation, and internal

dashboard systems, are all proprietary systems owned by AFL and not open for replication or use by any third party without express consent.

13.5 Legal Enforcement and Remedies

13.5.1 Monitoring and Investigation

AFL reserves the right to monitor any suspected abuse of its intellectual property, including through automated systems or manual audits. This includes external marketplaces, clone websites, or brand impersonation online or offline.

13.5.2 Remedies for Violation

In the event of confirmed infringement or unlawful use of AFL intellectual property, AFL may:

  • Terminate or suspend user accounts
  • Pursue legal remedies, including filing suit for damages
  • Issue cease-and-desist letters and demand public corrections
  • Seek injunctive relief from competent Nigerian courts

13.5.3 Waiver of Defense

Users hereby waive any defense that their use was unintentional or lacked commercial intent. AFL reserves full rights to act on both intentional and negligent violations.

14. PLATFORM TECHNOLOGY CLAUSE

This Section outlines the legal framework surrounding the technological infrastructure, systems, and software features that power the Ayinla Film Locations (AFL) platform. It addresses ownership, permitted usage, prohibited actions, third-party integrations, system updates, and user obligations related to digital security, access, and misuse.

14.1 Proprietary Technology and System Ownership

14.1.1 Exclusive Ownership Rights

All software, tools, codebases, digital frameworks, data processing logic, artificial intelligence models, and back-end infrastructure used to operate, maintain, and enhance the AFL platform (including but not limited to the website, internal dashboards, automated verifications, notifications, payment gateways, and API integrations) are the exclusive property of Ayinla Film Locations or its authorized licensors.

14.1.2 Nigerian and International Protection

These digital assets are protected under Nigerian intellectual property and cyber laws, including:

Users (Hosts, Guests, and third parties) are granted a limited, non transferable, non-exclusive license to access the AFL platform solely for the purpose of using the services as intended—namely, searching, listing, booking, or managing creative spaces.

14.2.2 Prohibited Technological Interference

The following actions are strictly prohibited and constitute a breach of this agreement:

  • Copying, replicating, or reverse engineering AFL’s code or user interface
  • Attempting to decompile, decrypt, disassemble, or manipulate the source code
  • Scraping data from the platform using bots or automation tools
  • Gaining unauthorized access to the backend, Host dashboards, or payment modules
  • Using AFL in combination with malicious software, phishing attempts, or embedded malware
  • Deploying artificial traffic generators, false reviews, or programmatic impersonation

Violation of any of these restrictions may result in:

  • Permanent suspension of user accounts
  • Blacklisting of associated IP addresses
  • Legal action under both civil and criminal law

14.3 Third-Party Integrations and APIs

14.3.1 Integrated Services

AFL may rely on or collaborate with third-party services for:

  • Payment processing (e.g., Paystack, Flutterwave)
  • Mapping and location services (e.g., Google Maps)
